Terms of Service
These Terms of Service ("Terms") govern your use of Clearskytrail's website and any services we provide, including process diagnostics, automation pilots, and related professional services (collectively, "Services"). By accessing our site or engaging our Services, you agree to be bound by these Terms and any service-specific agreement executed between you and Clearskytrail. If you represent an organization, you confirm you have authority to bind that organization to these Terms. If you disagree with these Terms, please do not access the site or engage our Services. The effective date for these Terms is January 1, 2026. We reserve the right to update these Terms, and material changes will be posted with an updated effective date. For the avoidance of doubt, these Terms do not create exclusivity unless expressly agreed in writing in a separate client agreement.
Scope of Services and engagement
Clearskytrail provides advisory and implementation services that help clients analyze, redesign, and automate business processes. Each engagement will be described in a statement of work or proposal that specifies deliverables, timelines, fees, acceptance criteria, and any data access requirements. We rely on client-provided information and access to systems as necessary to perform work. Clients remain responsible for their systems, data accuracy, and for securing any requisite consents to share or process data. Where we supply software or automation components, the applicable license and deployment terms will be set out in the service agreement. Any estimates of savings, cycle time reductions, or benefits are illustrative unless expressly guaranteed in writing and will depend on client cooperation, data quality, and operational changes implemented by the client.
Permitted use and restrictions
You agree to use our website and Services only for lawful business purposes and in compliance with applicable laws and contractual obligations. You will not attempt to circumvent security controls, interfere with site functionality, upload malicious content, or use the Services to process personal data in violation of privacy laws. When interacting with our team or portals, you must provide accurate information and maintain the confidentiality of any credentials issued. Unauthorized use of our content, trademarks, or intellectual property is prohibited. Clearskytrail reserves the right to suspend or terminate access where misuse or abuse is suspected, or if required to comply with legal obligations. Clients must not attempt to reverse engineer or replicate proprietary tools or methodologies delivered as part of a licensed offering without explicit authorization in the agreement.
Client data, confidentiality, and IP
Clients retain ownership of their data. Clearskytrail acts as a processor or independent contractor as set out in the service agreement and only processes client data to perform Services. We maintain confidentiality of client information and implement reasonable safeguards to protect data. If Clearskytrail generates deliverables or materials in connection with Services, the agreement will specify ownership and license terms: typically, clients receive a license to use deliverables internally while Clearskytrail retains ownership of pre-existing tools, methodologies, and templates. Both parties agree to keep confidential information secure and to limit disclosures to employees or subcontractors with a need to know and under confidentiality obligations. Obligations of confidentiality survive termination of the engagement for a defined period in the agreement, except where disclosure is required by law.
Fees, payment, and taxes
Fees for Services will be set forth in the applicable proposal or statement of work. Unless otherwise agreed, invoices are due within the payment period specified in the agreement. Late payments may accrue interest at a commercially reasonable rate and may result in suspension of Services. Clients are responsible for any taxes, duties, or governmental charges arising from engagement payments, excluding Clearskytrail's income taxes. If travel or third-party costs are authorized, they will be invoiced or reimbursed per the terms of the statement of work. Refunds for services, if any, are handled in accordance with the written agreement. Any change requests or scope expansions will be documented and may affect timing and fees.
Disclaimers, liability, and indemnity
To the fullest extent permitted by law, Clearskytrail provides Services "as is" and disclaims all warranties, whether express or implied, including fitness for a particular purpose. While we use commercially reasonable efforts to deliver practical and accurate recommendations, results cannot be guaranteed due to variables beyond our control. Our liability for claims arising from these Terms or an engagement is limited to the fees paid for the particular Services giving rise to the claim, except in cases of gross negligence or willful misconduct where local law permits a different standard. Neither party will be liable for consequential, incidental, or punitive damages. Clients agree to indemnify and hold Clearskytrail harmless from third-party claims arising from client-provided data, misuse of deliverables, or unauthorized disclosures by the client. Specific indemnities and limits will be set out in the client agreement where applicable.
Governing law and dispute resolution
These Terms and any disputes arising out of them will be governed by the laws specified in the applicable service agreement. In the absence of a governing law clause, the laws of the Commonwealth of Pennsylvania, USA, will govern. The parties will seek to resolve disputes promptly through good-faith negotiation and escalation to senior representatives. If unresolved, the parties may proceed to mediation or binding arbitration if agreed in the service agreement. Court proceedings, where permitted, will be conducted in the designated jurisdiction set out in the agreement. Nothing in these Terms prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
Changes and contact
Clearskytrail may update these Terms to reflect legal, regulatory, or operational changes. Material changes will be posted with an updated effective date and, where required, notified to clients.
